Terms of Use and Public Offer

1.1. This document is an official public offer (the "Agreement") of REALCODE MCHJ (STIR 311709011) (the "Company", "we") addressed to any legal entity or individual entrepreneur (the "User", "you") to use the book4me software-as-a-service platform (the "Service") on the terms below.

1.2. Creating an account, ticking the consent box, or any use of the Service constitutes full and unconditional acceptance of this Agreement (acceptance of the offer) under the Civil Code of the Republic of Uzbekistan. If you do not agree, do not use the Service.

1.3. The Company may amend this Agreement at any time by publishing a new version at book4me.uz. Continued use after publication constitutes acceptance. Material changes will be notified in-app or by email.

"Service" — the book4me platform, websites, APIs, and related software and documentation. "Account" — the User's registered access. "Content" — any data the User uploads or generates, including the User's own clients' personal data. "Migration/Import" — transfer of data from a third-party system identified by the User (typically their previous booking system) into the Service at the User's request.

3.1. The Company grants the User a limited, non-exclusive, non-transferable, revocable right to use the Service for the User's internal business purposes for the paid period.

3.2. The Service is provided "AS IS" and "AS AVAILABLE". Functionality may be added, changed, or removed. Some features are in development and are marked accordingly; the Company does not guarantee availability of any specific feature.

4.1. The User must provide accurate registration data and is responsible for the security of credentials and for all actions under the Account.

4.2. The User is responsible for its employees' and users' compliance with this Agreement.

5.1. The Service is provided for a fee per the tariffs published at book4me.uz, in UZS.

5.2. Fees are prepaid and, save as required by mandatory law, non-refundable, including for partial periods or unused functionality.

5.3. The Company may change tariffs prospectively with prior notice.

5.4. Late or failed payment may result in suspension.

6.1. The Service may, at the User's explicit request and on the User's behalf, access a third-party system identified by the User (typically their previous booking system) using credentials or authorizations the User provides, solely to migrate the User's data into the Service.

6.2. The User represents and warrants that it (a) owns or lawfully controls the third-party account and the data, (b) has the full right and all necessary consents to export and transfer that data, and (c) is not in breach of any agreement with the third-party provider by performing the migration.

6.3. The User authorizes the Company to act as the User's technical agent for the migration. The Company is not a party to any agreement between the User and the third-party provider and assumes no obligations under it.

6.4. The Company gives no warranty as to the completeness, accuracy, or fitness of imported data and is not liable for any loss, error, omission, duplication, or downtime in the source system. The User must review and verify all imported data before relying on it.

6.5. The User solely bears all responsibility and risk arising from the migration, including any claim, penalty, or account action by the third-party provider, and indemnifies and holds harmless the Company against any such third-party claim (see §11).

7.1. The User retains all rights to its Content. The User grants the Company a limited license to host and process Content solely to provide the Service.

7.2. For personal data of the User's own clients/staff, the User is the data controller and the Company is the data processor, processing only on the User's documented instructions, in line with Law ZRU-547 "On Personal Data". A separate Data Processing Agreement applies (Annex/Privacy Policy).

7.3. The User warrants it has a lawful basis and all required consents to upload such data and to instruct the Company to process it.

7.4. Data may be stored and processed on infrastructure located outside Uzbekistan (e.g., the EU) subject to safeguards required by applicable law.

The User shall not: use the Service unlawfully; upload unlawful, infringing, or malicious content; attempt to breach security, reverse-engineer, scrape, or overload the Service; resell or sublicense without written consent; or use the Service to compete with or replicate the Company's technology.

All rights in the Service, software, design, brand "book4me", and documentation belong exclusively to the Company (REALCODE MCHJ). No rights are transferred except the limited use right in §3.

10.1. To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, uninterrupted or error-free operation, or that data will not be lost.

10.2. The Company is not liable for indirect, incidental, consequential, special, or punitive damages, lost profits, lost data, lost revenue, or business interruption, even if advised of the possibility.

10.3. The Company's total aggregate liability for any and all claims is limited to the amount actually paid by the User to the Company for the Service in the three (3) months preceding the event giving rise to the claim.

10.4. The Company is not liable for failures of third-party services (payment providers, SMS/Telegram, hosting, internet) or for events beyond its reasonable control.

The User shall indemnify, defend, and hold harmless the Company, its founders, directors, and employees from any claim, loss, liability, fine, or expense (including reasonable legal fees) arising from: (a) the User's Content or data; (b) the migration of third-party data (§6); (c) the User's breach of this Agreement or of any law; or (d) any claim by a third party (including the source system from which data was migrated) relating to the User's use of the Service.

12.1. The Company may suspend or terminate access immediately for breach, non-payment, unlawful use, or risk to the Service or others.

12.2. The User may stop using the Service at any time; prepaid fees are non-refundable per §5.

12.3. On termination, the User may export its data within a stated window, after which the Company may delete it per its retention policy.

Neither party is liable for failure caused by events beyond reasonable control (acts of state, war, disaster, outages, network failures).

14.1. This Agreement is governed by the law of the Republic of Uzbekistan.

14.2. Disputes are resolved by negotiation first; failing that, by the competent courts of the Republic of Uzbekistan at the Company's location.

15.1. If any provision is invalid, the rest remains in force.

15.2. The Company may assign this Agreement (e.g., on reorganization); the User may not without consent.

15.3. This Agreement, with the Privacy Policy and tariffs, is the entire agreement.

15.4. Notices are given in-app, by email, or to the published requisites.

15.5. Authoritative language: Uzbek — in case of conflict between versions, the Uzbek version prevails.
